Submit Your Track offers self-distribution software through its portal submityourtrack.net. The Company provides various services, both as a distributor and as a reviewer, through the website submityourtrack.net, conditioned on your acceptance without modification of the following Terms of Service. Accessing the Service (as described below) or registering with the Company constitutes acceptance of these Terms of Service. These Terms may be updated at any time, without notice. Changes to the Terms of Service will not be retroactive and will not apply to disputes or events that occurred prior to the posting of the update. It is your responsibility to review the Terms of Service regularly. The Terms of Service apply to all visitors and anyone who accesses our site or uses our Services. If any part of this Agreement is held to be invalid or unenforceable, a valid provision that most closely reflects the original intent will be replaced, and the remainder of the Agreement will remain in effect.
Please review this agreement carefully to make sure you understand each part. This agreement includes a binding individual arbitration provision and a waiver of participation in class actions or jury trials. This provision requires that disputes be resolved through individual arbitration, rather than through litigation in court or in a class action.
SubmitYourTrack makes it possible for those who share music and those who receive it to interact. We will do our best to make this interaction as easy and efficient as possible. However, we cannot be held responsible for the actions of those who use our service.
You confirm that you are at least 18 years of age and are fully capable of entering into and complying with the terms, conditions, covenants, statements, representations and warranties set forth in these Terms of Service. If you are under 18, please do not use our Services or the Company.
We protect the privacy and data protection of our users. By using our service, you agree to the collection, use and sharing of your personal information, along with any data that does not directly identify you.
1. Services
The Company provides a service through a platform dedicated to distributors and reviewers, allowing them to rate and review music tracks.
2. Registration
By registering and participating in this Service, you confirm and agree to the following:
- You are at least 18 years of age and legally capable of entering into a binding contract;
- You assume full financial responsibility for your account and agree to comply with all of your responsibilities and obligations as set forth in these Terms and any policies or procedures posted on the Site, including, but not limited to, deposits, withdrawals, payment methods, and refunds;
- You are solely responsible for any taxes, levies, or duties related to your use of our Service;
- All information you provide to the Company or in connection with its services is accurate and complete, and you agree to maintain and promptly update your profile to ensure its accuracy;
- You consent to be contacted by the Company via email regarding its services;
- You grant the Company permission to email or display your profile and other information from other sites or services, or that you may provide, as the Company deems appropriate in connection with the Service.
3. Representations, Warranties and Indemnifications
You hereby confirm and warrant that:
(a) you have all rights, permissions and licenses necessary to submit the Materials and grant the licenses provided in these Terms of Service; (b) the Materials are accurate, complete and current; (c) the Materials and your use of the Service do not violate or infringe any copyright, trademark, patent, trade secret or other intellectual property right of any third party, or violate any other rights of any third party, including, but not limited to, rights of privacy, publicity or contract; (d) the Materials and your use of the Service do not violate any applicable laws or regulations or cause injury to any third party; (e) your use of the Service does not violate any agreements entered into between you and any third party.
You agree to defend, indemnify and hold harmless the Company and its officers, directors, employees, agents and contractors from any claims, damages, liabilities or expenses, including, but not limited to, reasonable attorneys' fees, arising out of or relating to: (a) the Materials you provide or approve for posting; (b) your use of the Service; (c) your violation of these Terms of Service; or (d) any potential, actual or completed claims involving the Service between you and a third party.
You grant the Company all rights, licenses and permissions necessary to display, reproduce, distribute and use your content in connection with the SubmitYourTrack community. The Company may, in its sole discretion, edit, remove your content or block/disable replies to a topic at any time.
Neither party will be liable for any failure or delay in performance due to acts of God, such as conflicts, acts of God, electrical, internet or telecommunications outages, governmental restrictions or other events beyond the obligated party's reasonable control. Each party shall use reasonable efforts to limit the effects of a force majeure event.
Both parties agree that no joint venture, partnership, agency or employment relationship exists between you and the Company as a result of this Agreement.
You agree to comply with all applicable national and international laws.
4. Limitation and Liability
- In no event shall the Company and its suppliers be liable for any loss of profits or any special, incidental or consequential damages.
- The Company assumes no liability for errors or delays resulting from an incorrect email address provided by the user or any technical problems beyond our reasonable control.
5. Funding your account
You can fund your account by credit card (“deposited funds”). Deposited funds will be visible on your dashboard and can be used for sending but not withdrawn or refunded.
Payments are handled by stripe, and stored securely for future transactions.
Earned funds, added to your balance after you respond, are withdrawable upon request. The Company may change the earning methods and add terms.
We may withhold or offset payments against any amounts owed to us and seek reimbursement for erroneous payments. Disputes must be filed within 30 days, and you are responsible for keeping your details up to date and covering any bank charges.
6. Termination
- The Company may suspend or terminate your access to the Service at its sole discretion, without notice, for any reason, including violation of these Terms, the terms of other services used, the rights of third parties, or applicable laws. You may stop communicating with the Company by sending a written request to info@submityourtrack.net ensuring that the notice is delivered. Your account data and files will be retained for up to 90 days after termination of the Service.
- The Company may, at any time and without notice, modify, suspend or discontinue any service, feature or content offered.
- The Company will not be liable for any consequences arising from such modifications or discontinuations, either to you or to third parties.
All disputes relating to the Service will be resolved exclusively by binding arbitration in Italy, following the Italian rules. The arbitrator will apply the Italian laws and can award only actual damages, excluding punitive or consequential damages. You agree to waive the right to go to court, participate in a class action, or representa- tive proceeding. Each arbitration will be individual and cannot be consolidated with any other claims.
7. Class Action and Jury Trial Waiver
All claims must be brought individually and not as part of a collective, class, or representative action. This waiver includes class arbitration, and the arbitrator may not consolidate more than one person's claims without our consent. You agree to waive the right to a trial by jury and to participate in a class or representative action of any kind.
8. Company and User
We both agree to submit to the jurisdiction of the courts located in Milan, Italy, or the court for any legal action. The Terms of Service, Privacy Policy, and other legal notices do not waive this right. The agreement is non-exclusive and permits each party to engage in similar agreements with others. We agree to the use of electronic signatures and to the delivery of documents and notices electronically. Any rights not expressly granted are reserved by the Company.
9. Copyright and Trademark Notices.
All materials on the Service are copyright © 2024 SubmitYourTrack. All rights reserved. Other company or product names may be trademarks of their respective owners.
10. Account Deletion
Use the email address you registered your account with to send a deletion request to info@submityourtrack.net. Please note that this action is permanent and cannot be undone. Be sure to save any important data or content before deleting your account. After deletion, we may retain anonymous data for analysis or legal obligations, without linking it to your account.
